SEBI Corporate Filings Decoded — Reading What Companies Are Required to Disclose

The Public Documents Most Investors Never Read

SEBI's LODR (Listing Obligations and Disclosure Requirements) Regulations mandate that listed companies file dozens of disclosures every year — quarterly results, board outcomes, insider trades, shareholding patterns, BRSR, AGM notices. All free, all public, all on NSE/BSE within hours of the event.

Yet most retail investors never read these directly — they wait for news articles to summarise them, losing both the original detail and the time edge. Reading filings yourself is the single highest-leverage habit a serious investor can build.

This article maps the SEBI disclosure landscape — what gets filed, where to find it, and what to actually look for as an investor.

Where to Find Filings

The 6 Filings That Matter Most

1. Quarterly Results

Filed within 45 days of quarter-end. Contains sales, EBITDA, profit, segment-wise performance, comparison with year-ago quarter and previous quarter. Always read both standalone (parent only) and consolidated (parent + subsidiaries) — consolidated reflects true economic picture.

2. Audited Annual Report

Filed within 4-6 months of FY-end. Most information-dense filing of the year — includes Management Discussion & Analysis (MD&A), risk factors, related-party transactions, contingent liabilities, auditor's opinion, segment-wise capital employed, and 5-year history. Skim everything, deep-read MD&A + auditor's report + RPT note + contingent liabilities note.

3. Quarterly Concall Transcript

Not always uploaded to BSE/NSE — find on company investor relations page or AceEquity. Management Q&A with analysts. Often reveals more than the press release — analysts probe weak segments, margin guidance, capex plans. This is where you learn whether management is candid or evasive.

4. Board Meeting Outcomes

Disclosed within hours under SEBI LODR Reg. 30. Major decisions: dividends, buybacks, large capex sanctions, M&A, debt raises, ESOPs, change in directors. Each meeting's agenda is filed in advance; outcome filed immediately after.

5. Insider Trading Disclosures

Every promoter or KMP trade disclosed within 2 days. Use to spot promoter selling/buying patterns. Available on BSE/NSE under "Insider Trading" tab.

6. Shareholding Pattern (Quarterly)

Filed within 21 days of quarter-end. Shows promoter %, pledged %, FII %, DII %, individual %. Changes quarter-on-quarter reveal who is buying and selling.

Event-Driven Disclosures (LODR Reg. 30)

Material events must be disclosed within 12-24 hours. Examples:

Pro Tip:

Subscribe to free email alerts on BSE/NSE for stocks you own. Trendlyne also offers free filing alerts. Reading filings within hours of disclosure — before brokers write reports — is a real edge.

BRSR — Business Responsibility & Sustainability Reporting

SEBI mandates BRSR for top 1,000 listed companies by market cap (FY 2022-23 onwards). Published as part of the Annual Report. Discloses ESG metrics — energy, water, emissions, workforce diversity, complaints, governance.

When BRSR Matters

AGM — Annual General Meeting

Once a year. Shareholders vote on auditor reappointment, director re-election, dividend, ESOP, capital raises, large RPTs. Notice filed 3-4 weeks before meeting with all proposed resolutions.

What to Look For

Retail investors can vote via NSDL/CDSL e-voting portal. Participation matters even for small holdings.

Frequently Asked Questions

Two main sources, both free: (1) BSE India — bseindia.com → search company → "Corp Announcement" with PDFs in chronological order; (2) NSE India — nseindia.com → company → "Corporate Information". For aggregated views: Screener.in shows recent filings, Trendlyne sends email alerts, Tickertape has corporate-action calendar. SEBI publishes investigation orders at sebi.gov.in searchable by company name.
Six filings cover 90% of decisions: (1) Quarterly Results — sales, profit, margins, segments; (2) Audited Annual Report — full financials, MD&A, RPT, contingent liabilities; (3) Quarterly Concall Transcript — management Q&A with analysts; (4) Board Meeting outcomes — major decisions; (5) Insider Trading Disclosures — every promoter trade; (6) Shareholding Pattern — promoter %, pledged %, FII/DII %. First three are substance; next three are early-warning indicators.
BRSR = Business Responsibility and Sustainability Reporting. SEBI mandates for top 1,000 listed companies by market cap (FY 2022-23+). Discloses ESG metrics — energy, water, emissions, workforce, governance. Published in Annual Report. Worth reviewing if (a) you care about ESG investing; (b) own stocks where ESG affects value (mining, oil & gas, chemicals, cement, steel); (c) want to understand transition risks. Big gaps between BRSR claims and news reports can be red flags.
AGM (Annual General Meeting) is the once-a-year shareholder vote on auditor reappointment, director re-election, dividend, ESOPs, capital raises, RPTs. Notice filed 3-4 weeks before with all resolutions. Look for: (1) Special resolutions (75% majority) — large RPTs, M&A, capital reduction; (2) ESOP grants — size and exercise price; (3) Promoter compensation — sudden hikes need questions; (4) Re-election of long-tenured (10+ years) independent directors. Retail can vote via NSDL/CDSL e-voting.
Periodic: quarterly results within 45 days, annual report within 4-6 months, shareholding pattern within 21 days, corporate governance with annual report. Event-driven under SEBI LODR Reg. 30 (within 12-24 hours): board outcomes, M&A, contracts, regulatory orders, credit rating changes, director/KMP changes, large insider trades, fraud, litigation. Active large-cap stocks may file 50-100+ disclosures a year. Use Trendlyne or BSE/NSE email alerts.
Standalone shows only the parent company. Consolidated combines parent + subsidiaries + JVs + associates. For investment decisions, always use consolidated — that is the true economic picture. Reliance Industries standalone is largely refining; consolidated includes Jio (telecom), Reliance Retail. Tata Motors standalone is Indian trucks; consolidated includes Jaguar Land Rover globally. Difference reveals where action is — large consolidated revenue means subsidiaries drive growth. Both are mandatorily disclosed each quarter.
